It includes the nature of the business, its name and address, and those of the directors, the number of authorized shares, and date of incorporation. Directors

California law states that the board of directors of your corporation should have at least three members. However, if your company has less than three shareholders, then the number of your directors should equal that of your shareholders. The directors are not required to be State residents and can be of any age.

Bylaws

All states require written corporate bylaws. These outline the structure and governing rules of the corporation and specify the responsibilities of its members, Board of Directors, and executive committee. It also details the nomination and election process of the officers and directors. Bylaws have to be formally adopted and amended as necessary.
